1. General Scope

These terms apply to all commercial communications, quotations, product discussions, technical evaluations, sample requests, OEM studies, production planning and sales processes involving PhoenixPack Endüstri Plastik Sanayi A.Ş.

2. Quotations & Commercial Offers

Any quotation, price list, product proposal or commercial offer issued by PhoenixPack is valid only for the period expressly stated in the relevant document. Unless confirmed in writing, quotations do not constitute a binding obligation to supply.

• Prices may change due to raw material, logistics, currency or production cost changes.
• All product specifications must be confirmed before order approval.
• Verbal statements are not binding unless confirmed in writing by PhoenixPack.

3. Orders & Production Planning

An order becomes valid only after written confirmation, agreed payment terms and internal production approval. PhoenixPack may reject, postpone or revise orders depending on capacity, raw material availability, payment risk, logistics restrictions or technical feasibility.

4. Advance Payments & Production Reservation

Advance payments may be required for production reservation, export orders, custom manufacturing, OEM projects, private label production, mold allocation, raw material procurement or special product planning.

Once production planning, raw material procurement, mold allocation, sampling, packaging preparation or capacity reservation has started, advance payments may become non-refundable to the extent of costs incurred, resources allocated or commercial losses suffered by PhoenixPack.

5. OEM, Private Label & Custom Manufacturing

OEM, private label and custom manufacturing projects require written approval of product structure, artwork, technical drawings, mold requirements, minimum order quantities, payment terms and delivery conditions. Any change after confirmation may create additional costs or timeline revisions.

6. Technical Tolerances

Plastic packaging products may be subject to reasonable manufacturing tolerances regarding weight, dimensions, color tone, transparency, stacking behavior, surface appearance and packaging quantity. Such tolerances do not automatically constitute defect or non-conformity unless expressly agreed otherwise.

7. Delivery & Logistics

Delivery dates are estimated unless expressly confirmed as binding in writing. PhoenixPack shall not be responsible for delays caused by customs procedures, transport providers, port congestion, force majeure events, raw material shortages or events beyond its reasonable control.

8. Intellectual Property & Technical Materials

All molds, technical drawings, manufacturing methods, sample structures, product specifications, documentation, know-how, images, catalogue materials and OEM development processes are protected and may not be copied, reproduced, disclosed, reverse engineered or used without written authorization.

9. Limitation of Liability

PhoenixPack shall not be liable for indirect losses, loss of profit, loss of market, loss of reputation, business interruption or consequential damages unless mandatory applicable law provides otherwise.

10. Governing Law

Unless otherwise agreed in writing, commercial relations with PhoenixPack are subject to the applicable laws and jurisdiction provisions agreed between the parties in the relevant contract, order confirmation or written commercial document.
